Indemnification
By agreeing to this agreement, you agree to defend SeoSpytools Entities against any and all claims, lawsuits, and costs, including reasonable attorney’s fees, that come from your use, misuse, access to, or use of the Services, the Content, trademarks, or any other part of your User Content. You also agree not to violate these Terms and Conditions or any other person or entity’s intellectual property rights. Lastly, you agree to assist and collaborate with Seospytools Entities in asserting any defenses you have. We have the right to take over and control any matter that is otherwise indemnified by you.
Limitation Of Liability
THE SEOSPYTOOLS ENTITIES CANNOT BE HELD LIABLE FOR ANY CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE, OR ANY OTHER LEGAL OR EQUITABLE RIGHT WITH RESPECT TO THE SERVICES. No Waiver
Our non-enforcement of any provision of this Agreement does not extinguish our right to enforce that provision or any other provision of this Agreement at a later date. A waiver of compliance in a particular case does not imply a waiver of compliance in the following case. For a waiver of compliance to be enforceable, we must notify you in writing via one of our authorized representatives.
